Information Disclosure Policy

Basic Stance

NTN Corporation (hereafter “NTN”) shall work to develop this corporation and increase stockholder return, while at the same time communicating broadly with society and actively disclosing information based on laws and regulations since the company has advocated active information disclosure as one of its management policies. NTN also strives to disclose, as actively and fairly as possible, information that it deems useful for investors even if that information does not apply to laws and regulations.

Standards for Information Disclosing

NTN discloses information in compliance with various laws such as the Financial Instruments and Exchange Act (hereafter “various laws”) and the Rules on Timely Disclosure of Corporate Information by Issuers of Listed Securities (hereafter “Timely Disclosure Rules”) stipulated by the Tokyo Stock Exchange. Moreover, NTN respects Japan's Corporate Governance Code and will work hard to actively disclose information in a fair manner according to the Fair Disclosure Rules.

Method of Information Disclosure

NTN discloses information that is subject to timely disclosure rules via the Timely Disclosure Network (TDnet) provided by the Tokyo Stock Exchange. NTN posts information published via TDnet on the company website promptly. However, the information is sometimes posted on the company website some considerable time after disclosure on TDnet due to technical reasons and other factors.

Management of Important Information

NTN appropriately manages information subject to insider trading regulations, as well as conclusive financial information prior to publication, as important information. NTN also quickly publishes relevant important information if it is found that a company executive or other employee has conveyed important undisclosed information to a business contact determined in the Fair Disclosure Rule. However, although equal to important information, if it is deemed inappropriate to publish the information then NTN will respond by not publishing the information, placing the concerned business contact under obligation to not purchase/sell the concerned company's stocks and to keep all relevant information secret until that important undisclosed information is publishable, etc.

Silent Period

In order to secure fairness and prevent important information from being leaked, NTN treats the period from the day after each quarterly financial results date until the relevant quarterly results announcement date as a silent period. NTN also refrains from disclosing settlement-related information and making comments/answering questions regarding settlement. However, if the earnings forecast is expected to be revised sometime during the silent period, then NTN will quickly disclose information based on disclosure regulations.
